Formation of Entities and Related Matters
Bill has represented many clients in the structuring and formation of entities. This representation includes counseling with the client regarding the client's goals in the transaction and then recommending the appropriate entity in order to achieve the most beneficial tax and business result in accordance with such goals. Such representation includes shareholder or entity owner agreements, employment agreements, buy-sell agreements, confidentiality agreements, intellectual property agreements, restrictive covenant agreements and other related documentation.
Real Estate
Bill has represented a number of clients in real estate activities, including purchase and sale transactions and tax free exchanges. He has represented a public Canadian corporation with their US real estate activities and has helped a client with its lease documentation regarding its multi-state facilities expansions.
Corporate Finance
Bill has represented clients in connection with capital and debt structuring and capital formation activities, including accessing debt and equity sources to achieve their goals. Such representations have included capital or debt commitments from less than $1,000,000 to more than $90,000,000.
Mergers and Acquisitions
Bill has represented numerous buyers and sellers in the acquisition or sale of entities and divisions or branches of entities, whether by the acquisition or sale of entity interests or assets or by merger or other acquisition strategy. This representation includes counseling with the client to achieve the most beneficial tax result in accordance with the client's goals in the transaction. He has helped clients in the purchase and sale of a variety of businesses with transactions with purchase or sale prices from less than $1,000,000 to more than $100,000,000.
Outside General Counsel
Bill represents a number of clients with their ongoing and daily business and operational activities, whether contractual or otherwise.
Business Disputes
Bill has represented a number of clients regarding disputes between or among the owners of entities, including negotiating and documenting business divorces, whether by cross purchase, redemption or restructuring of the entity.
